CounselurDocs’s Terms of Use for Our Service
Terms
This is an Agreement between you (hereinafter referred to as “you” or the “User”) and Counselurdocs Inc. (hereinafter referred to as “We”, “Us, or the “Site”) and governs your use of Counselurdocs website, its content (“Website) and Counselurdocs platform (collectively, the “Services”).
Counselurdocs , a service provided by Counselurdocs Inc, can be contacted at First Canadian Place, 100 King Street West, Suite 5700, Toronto, Ontario M5X 1C7 and at usersupport@counselurdocs.com.
For the purpose of this Agreement, Non-Legal Services are defined as any Counselurdocs product or service available via Website or Mobile Application, with the exception of legal services rendered by Bridging Legal Solutions Law Professional Corporation (Bridging Legal Solutions), a separate law firm. This Agreement is legally binding between you and Counselurdocs Inc.


Distinction between “User” of Counselurdocs vs. “Client” of a law firm

Counselurdocs is a platform that does not provide legal advice, and it is not a law firm. Counselurdocs website and technology-enabled self-help services and forms/agreements are not a substitute for the advice of a lawyer. Our Privacy Policy governs communications between you and Counselurdocs but is not covered by the lawyer-client relationship or work product
privileges. Any purchase from Counselurdocs is subject to and governed by this Agreement. If you start drafting on Counselurdocs and discover you need legal advice to complete your agreement or the platform informs you that legal advice is required, you will no longer be able to use the system and will be entitled to a full refund. You will need to reach an independent lawyer to obtain the legal advice you need. You can contact Bridging Legal Solutions, whose lawyers are familiar with the forms on Counselurdocs and can efficiently provide you with the advice you need at a discount rate. Should you choose to engage a lawyer at Bridging Legal Solutions, you will be subject to a separate lawyer-client retainer agreement to complete your shareholder agreement at a discounted rate. Service protections applicable to legal services provided by Bridging Legal Solutions are the same as would be available with other law firms including in respect of solicitor-client privilege, disclosure of information, conflicts and statutory complaints.

Please carefully read the following terms and conditions (the “Terms”), the agreement contains important information regarding your use of the Services and explains your legal rights and obligations. By accessing the Services and agreeing to the Terms, you acknowledge that you have read, understand, and agree to be bound by these Terms, all applicable laws, and regulations, and agree that you are responsible for the compliance with any applicable laws. If you do not agree with any of these terms, then you are not permitted to access the Website and use the Services. The content contained on the Website and the Services are protected by applicable copyright and trademark law.
BY USING THE SERVICES, YOU ARE AGREEING THAT YOU ARE AT LEAST THE AGE OF MAJORITY IN PROVINCE OR TERRITORY OF RESIDENCE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT.
The Website and the Services may not be used by persons in jurisdictions where the access to or use of the Website and the Services or any part may be illegal or prohibited, or where the Services may be deemed to be the practice of law.


Modification to the terms of use and the Services

We reserve the right in our sole discretion to add, remove, modify, discontinue, or otherwise change the Website or Services or to modify these Terms any time without prior notice or with such notice to you. If we make any material changes to these Terms that have an effect on current users, we will provide notice of such changes to the email address we have for the user. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the Website and the Services. The most recent revisions shall be noted in chronological order at the beginning of the Terms. You agree to periodically review the Terms in order to be aware of any such modifications and your continued use shall be your acceptance of these.
The Site and the Service does not provide legal advice

Our online service called Counselurdocs allows for agreement service through the Website . Counselurdocs is not a law firm. The information we provide is for your own private use and does not contain or provide formal legal advice in any circumstances. Since Counselurdocs does not provide legal advice, your use of the Services does not trigger a lawyer-client relationship between you and Counselurdocs. You can only obtain legal advice through a qualified licensed lawyer that can practice law in your jurisdiction. Counselurdocs is a basic service (the “Basic Service ”) that allows the User to create a shareholder agreement (the “Shareholder Agreement” or “Materials”) online using self-service, question and answer format. Should your matter or agreement not meet the criteria to use our online platform or is too complex you can contact Bridging Legal Solutions or another lawyer or law firm of your choice for a consultation with a licensed lawyer to receive legal advice. You must not use the Services if your matter does not meet the criteria of Counselurdocs to proceed or your matter is too complex.

The Services are an online tool to assist you with creating your Shareholder Agreement. We will do our best to keep our platform up-to-date; however the laws are changing, our platform is not guaranteed to be correct, complete or up-to-date and may be subject to interpretation by different courts. The law is complex, and no single legal platform can perfectly fit for every circumstance. Our Services are designed to be compatible with the Canada Business Corporations Act, and different jurisdictions and corporate laws may have different requirements. We do not review your agreement for accuracy or legal sufficiency, draw legal conclusions or apply the law to your particular legal circumstance or matter. Should you need legal advice please contact Bridging Legal Solutions to schedule a consultation with a licensed lawyer, or you may contact another lawyer or law firm of your choosing.
If an error has occurred in your Materials and is caused exclusively by Counselurdocs, then Counselurdocs will use commercially reasonable efforts to correct the error at no additional cost to you.
You acknowledge that Counselurdocs does not independently conduct any due diligence, investigate, or evaluate any data you provide to Counselurdocs and has no liability to you for any damage or loss concerning the accuracy of your data. Counselurdocs is not a controller of any data you may provide, but an educational platform designed to assist you to create your Shareholder Agreement or Materials. Your data and the data you collect and use is your responsibility. We strongly recommend that you obtain consent from other parties before using their data in creating your Materials .
The Website, the Site, and the Services
The use of the Website and the Services creates no lawyer-client, advisory, fiduciary relationship, or constitutes professional advice. The Website and the Services are for convenience and informational purpose only. It is for your lawful, personal, non-commercial use only. You may not use the Site or the Services for the purposes of providing similar services to any person or entity other than an entity that is related or affiliated with you. The Website and the Services pages or its content, any visible or non-visible identification, marks, notices, or disclaimers may not be removed or altered. The Website and the Services may not be copied, imitated, reproduced, republished, uploaded, posted, transmitted, modified, indexed, cataloged, mirrored, or distributed in any way, in whole or in part, without the express written consent of Counselurdocs.
If you violate any of these restrictions, We will terminate your access at any time. Upon termination you must destroy any downloaded material content of the Website and the Services in your possession whether in electronic or printed format.


Payment for the Services

Fee for the Services is stated on the Website and any applicable taxes (hereinafter referred to as “Services Fee”), will be processed at check out. Once the payment is processed, you will be able to access the Materials to view, download and print. We reserve the right to change the Services Fees at any time and from time to time without prior notice or with such notice as required by applicable laws. The Service Fee applicable will be the Service Fee in effect on the day you complete and download your Materials.
Payment processing services for the Services are provided by Stripe and are subject to the Stripe Services Agreement, available here. By continuing to operate as a customer on Counselurdocs and agreeing to these terms, you agree to be bound by the Stripe Service Agreement, as the same may be modified by Stripe from time to time. As a condition of using payment processing services through Stripe, you agree to provide accurate and complete information related to your use of the payment processing services provided by Stripe.

Your Current Information

You will be responsible to keep your email address current. Communication and notifications to the User will be emailed to your most current email address provided to us. Failure to update your contact details may result in notifications being sent to an out-of-date party and inability to effectively notify you of our efforts to communicate with you.

Liability
We shall not be liable to you, or any third party, for any damages, losses, charges or costs resulting from any input errors caused by you or any omissions in the data you provide us; or content you publish to the Site.
To the full extent permitted under the applicable legislations, regulations, and the laws, under no circumstance will we be liable to you or any third party, for
i. direct damages in an amount that exceeds the total amount previously paid by you to us in the 12 months period preceding the event from which the liability arose, if you or the third party (as applicable) are located outside of the Province of Ontario;
ii. direct damages in an amount that exceeds $2,500 in the aggregate, if you or the third party (as applicable) are located inside of the Province of Ontario;
iii. any incidental, consequential, indirect, exemplary or punitive damages whether based in contract, tort, negligence or any other legal basis, arising out of or in connection with the Services or the Site; provided, however this limitation of liability shall not apply to any fraud, criminal misconduct, wilful conduct, gross negligence or malicious or dishonest acts or omissions.

iv. subject to the limitation and exclusion of liability in (a) and (b) above, in the event of a data breach of our systems arising from our negligent act or omission in which your personal information has been disclosed to a third party in circumstances that create a real and substantial risk of identity theft, we will provide you with reasonable identity theft protection services on terms and conditions determined by us in our sole discretion.
v. you acknowledge that the forgoing limitations and exclusions of liability are reasonable in the commercial circumstances contemplated in these Terms and that we have relied on such limitations and exclusions in entering into these Terms.
YOU UNDERSTAND THAT BY USING THE SERVICES, YOU TAKE RESPONSIBILITY TO FOLLOW INSTRUCTIONS, DIRECTIONS, ACCURATELY PROVIDE THE INFORMATION NEEDED TO COMPLETE YOUR AGREEMENT OR MATERIALS. YOU AGREE TO REVIEW AND READ THE FINAL AGREEMENT CAREFULLY BEFORE SIGNING IT, WHERE APPLICABLE, AND AGREE TO BE SOLELY RESPONSIBLE FOR THE FINAL AGREEMENT. IF OTHERS ARE PARTY TO YOUR AGREEMENT, YOU AGREE TO BE SOLELY RESPONSIBLE FOR GETTING THEIR CONSENT TO USE THEIR DETAILS AND INFORMATION TO COMPLETE THE AGREEMENT. YOU AGREE TO BE SOLELY RESPONSIBLE TO INFORM ALL PARTIES TO THE AGREEMENT TO SEEK INDEPENDENT LEGAL ADVICE BEFORE SIGNING THE AGREEMENT.

Protection of Site
You may not use the Website or the Services in any manner that could damage, disable, overburden or impair it or its application in any way, you may not upload, post or otherwise transmit any materials on this Website and the Services that would negatively impact the functioning of this Website and the Services, including but not limited to, computer viruses, Trojan horses, worms, other harmful, disruptive or destructive files or computer programs, you may not use any process or programs to monitor, copy, summarize or otherwise extract information from the Website and the Services. Violations of system and network security may result in civil or criminal liability.
To the fullest extent permitted by applicable law, should We deem you, in our sole discretion, to be in breach of this term, We will terminate your use of the Services indefinitely, with no financial liability or recourse to you.
We will use commercially reasonable efforts to implement measures to avoid and eliminate all viruses/harmful mechanisms.

Registration and password
When you sign up and create an account with Counselurdocs, your email address and other personal information is required upon your registration. The information you provide must be your own and you may not use another person’s personal information to access the Services, you may not register an email address to which you are not an owner or for which you do not have the express permission of the owner to use.
When you create a user account with Counselurdocs, you are required to provide a password, you may not share your password with any third party. You agree to immediately notify us of any unauthorized uses made on your Counselurdocs user account. We are not responsible, or liable whatsoever, for any harm or injury that may arise from a third-party gaining access to your password, for any reason.
You are solely liable and responsible for any loss, damage, harm, or other injury which may arise from the unauthorized use of your username and/or password by a third party. You may change your password as often as you deem necessary. We strongly urge users to select the option to have two-factor authentication on their account. We further strongly recommend that you use a strong password (i.e., choosing a password of appropriate length, including capital and lower-case letters, numbers, punctuation marks) and that this password for your Counselurdocs account be unique, not one used for other services. The responsibility to change your password and to protect the confidentiality of your password rests solely on you.
Physical device security
Your Counselurdocs account may be accessed via the Website through a desktop, a smartphone or tablet (your “Device”). You are solely responsible for safeguarding your Device and any access to that Device. The responsibility to keep your account secure and protected against unauthorized access solely rests on you. We take no responsibility or liability for any account breach or unauthorized access through your Device.
Suspended Accounts
We may suspend your account for the Services if we encounter evidence of suspicious activity in connection with your account, including, but not limited to, evidence that your account is being used by an unauthorized user. You understand and acknowledge that we, in our sole discretion, may opt to temporarily disable your account for a reasonable amount of time to investigate. Should your account be disabled, you understand that, absent applicable rules, regulations and laws, no information about your account will be provided to anyone outside of the Site, including you or any authorized contact until the investigation is complete. You acknowledge that we will not be liable for any delays caused by these policies and procedures.

Complaints
We are committed to resolving your concerns with a fair and reasonable solution, including refunding you the Services fee if appropriate in the circumstances. To submit a complaint, please contact usersupport@counselurdocs.com.
Intellectual property
The Website and the Services and Materials, including all content, is the exclusive property of Counselurdocs and is protected by copyright and trademark laws. Counselurdocs retains all rights in the Services, including, without limitation, software, images, texts, graphics,
illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio videos or music or any user content, By using the Website and the Services, you are agreeing to comply with copyrights and trademark laws you may not modify the content, or reproduce, display, distribute, lease, sell, create derivative works based (in whole or in part) on all or any part of the Services or any material made available through the Services or otherwise use of any of the Material in any way for public or commercial use unless expressly authorized to do so by us.
Except as permitted by law, you may not use Counselurdocs program for any purpose, other than those set out within these Terms. You may not attempt to disassemble, decipher, decompile, reverse engineer any of the components of this program software, in whole or in part.
Grant of limited license
You are subject to the terms of this Agreement. Counselurdocs grants you limited, revocable, non-exclusive, and non-transferable license to:
i. keep for your own personal use electronic or physical copies of the documents you create from your use of the Services and Materials such as the Shareholder Agreement; and
ii. use the Services as designed and as set in the Terms.
We reserve all rights not expressly granted herein in the Services and the Materials. Subject to the Terms, we grant you permission to download, view, copy and print the completed Materials on any single, stand-alone computer or device solely for your personal, informational, non-commercial use. You agree that you will not download, view, copy, print, or replicate any Materials other than for signing and witnessing the Materials, other legally permissible corporate activities (i.e., minutes books, shareholders communication), and tax filing. Such permission terminates automatically without notice if you breach any of these Terms in a material way. Should such termination occur, you agree to immediately destroy the Materials in your possession and to cease using the Services. Any unauthorized use of the Materials or the Services may violate copyright laws, trademark laws, laws of privacy and publicity and communications regulations and statutes.
Law Society of Ontario Disclosures
Counselurdocs is honoured to be an active participant in the Law Society of Ontario’s (LSO) Access to Innovation (A2I) project. It is important for you to be aware of the following:

  1. Counselurdocs is an LSO approved participant in A2I. More information about the Access to Innovation project is available online: https://lso.ca/about-lso/access-to-innovation
  2. Counselurdocs’ participation in A2I, and the LSO’s approval, is limited to its operations of an online platform through which Counselurdocs will operate an online platform through which users may create shareholder agreements using self-service answer questions format in Ontario; services are provided to users involved in the operation of their business in Ontario (the “Approved Services”);
  3. There are important items that apply to Counselurdocs’ services and the LSO’s approval:
    a. the LSO has not certified or endorsed the effectiveness of the Services;
    b. Counselurdocs is not a law firm. Though Counselurdocs may be owned in whole or in part by lawyers, use of the Approved Services shall not create a lawyer-client relationship between the user and any owner of Counselurdocs. Some of the people who manage Counselurdocs may not be lawyers or paralegals licensed and regulated by the LSO.
    c. a lawyer who is licensed and regulated by the LSO oversees Counselurdocs’s delivery of the Approved Services to consumers;
    d. Some of the people involved in the provision of Approved Services by Counselurdocs are not LSO Licensees. Accordingly, some service protections applicable to legal services provided by an LSO Licensee may be different or may not be available, including:
    i. any communications with or information provided to Counselurdocs may not be subject to solicitor-client privilege;
    ii. Counselurdocs may be required under law to disclose information provided to it by the consumer, including to authorities or third parties;
    iii. another party involved in the matter may be using the same Approved Services provided by Counselurdocs; and
    iv. there is no statutory complaints process available for the Approved Services.
    e. Bridging Legal Solutions is a law firm that is owned and managed solely by LSO Licensee(s) and it is regulated by the LSO to the same extent as other law firms. Should a consumer/user require a review of their completed document by Counselurdocs and the consumer/user chooses to enter into a retainer agreement with Bridging Legal Solutions to review and provide legal advice, the LSO regulatory law firm requirements will come into effect. Service protections applicable to legal services provided by Bridging Legal Solutions are the same as would be available with other law firms including in respect of solicitor-client privilege,disclosure of information, conflicts and statutory complaints.
  4. The LSO is not responsible or liable for any claims, losses, damages, or matters arising from the advertising of Counselurdocs, the provision of Approved Services, the non-suitability of the Approved Services for the purposes intended, or any other quality, availability, or service issue, failure, or liability of the Approved Services or Counselurdocs.
  5. To make a complaint about your experience with Counselurdocs, please contact Counselurdocs at the email address set forth at the bottom of these Terms.

As part of Counselurdocs’s participation in the A2I project, your information may be disclosed to the LSO to ensure Counselurdocs’s compliance with the terms of A2I and the evaluation of A2I by the LSO. By agreeing to these terms, you agree to the disclosure of your information to the LSO.
Privacy
Personal information we collect in connection with your use of the Services will be done in accordance with our Privacy Policy.
By accessing the Services, the User acknowledges and consents to us using the information collected from the User in accordance with the Privacy Policy.
The Materials are intended for your use. If you sign up for an account with Counselurdocs, it is because you want to generate Material for yourself. We do not endorse the views or wishes expressed in the Materials (i.e., Shareholder Agreement). We do not take responsibility for any actions taken as a result of the expressed wishes in your Materials. We may disclose your personal information with law enforcement or government agencies where required to do so by law.

Limitations on use
You agree and acknowledge that you will use the Services only for its intended and stated purpose in a lawful manner. You agree you will not use Counselurdocs in any manner whatsoever, or for any purpose whatsoever, that is harmful to you or others, or which could be construed as harassment, intimidation, or a violation of the privacy rights of others. In addition to other terms as set forth in the Agreement, you are prohibited from using the Services or Materials: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Non-Legal Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Services, third party products and services, or the Internet. We reserve the right to terminate your use of the Services for violating any of the prohibited uses.

Links to third-party sites
The Site may contain links to third party resources and businesses on the internet called “links” or “Linked Sites.” Those links are provided to help you identify and locate other internet resources that may be of interest to you. We do not endorse, sponsor or legally associate with any third party “linked sites.” We are not legally authorized to use any trade name, registered trademark, logo, official seal or copyrighted material that may appear in the link.

Language
The Website, the Site and the Services is currently only available in English. In the event of any ambiguity or conflict between the translations, the English version is authoritative and controls.
Persons with Disability
For visually impaired users, Counselurdocs can be used with a screen reader if it is on their device. For hearing impaired users, we have provided subtitles to our visual media communication which can be turned on using the closed caption icon. We do not recommend the Services to those with cognitive impairments.

Governing laws
These Terms will be governed by and construed in accordance with the laws of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule (whether of the laws of the applicable province or any other jurisdiction) and notwithstanding your domicile, residence, or physical location.
Any action or proceeding arising out of or relating to these Terms will be instituted in the courts of Ontario and/or the Federal Court of Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.
General

These Terms do not and shall not be construed to create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and Counselurdocs.
Neither Counselurdocs nor you shall be liable to the other for a failure to perform any of its or your obligations under these Terms during any period in which such performance is delayed by circumstances beyond its or your reasonable control, such as but not limited to fire, war embargo, strike, epidemic, pandemic, riot , terrorism, or the intervention of any governmental authority (a “Force Majeure”). In such an event, however, the delayed Party must promptly provide the other party with written notice of Force Majeure. The delayed Party’s time for performance will be excused for the duration of the Force Majeure. If any provision herein is held to be invalid or unenforceable to any extent, then such provision will be interpreted, construed and reformed to the extent reasonably required to render it valid, enforceable and consistent with its original intent.
Headings in the Terms are for the convenience of references only and shall in no way effect interpretation of such Terms.
